These terms are a contract between Slickify Ltd (company number 15691610), trading as HelpDental ("HelpDental", "we", "us") and the person or organisation buying or using HelpDental Assist ("you").
Assist is supplied only for professional or business use. By creating an account or using Assist, you agree to these terms and confirm that you can bind the practice or other organisation for which you use it.
Assist records or accepts text from a dental encounter and uses automated transcription and language models to prepare a draft clinical note. Features may also let you store records, work with colleagues, label clinical images or share a treatment plan with a patient.
Assist is a documentation aid. It is not a practice-management system, diagnostic service, treatment recommendation, emergency service or substitute for professional judgement. Keep your authoritative clinical record in the system your practice has approved.
You must provide accurate account and professional details and keep them current. Each person must use their own account. You must keep login details secure and tell us promptly if you suspect unauthorised access.
The account owner may invite authorised practice staff and control their roles. The account owner is responsible for those invitations, for removing access when it is no longer needed and for activity carried out by authorised users.
The free trial lasts 28 days. For accounts created from 10 October 2026, it starts when you create your account. For accounts created before then, it starts with the first note, transcription or other chargeable use. No card is required and the trial does not convert automatically into a paid plan.
A person may receive one free trial. We may refuse or end a trial where details are false, a previous trial has been used or we reasonably suspect abuse. When a trial ends, creation and AI processing stop unless you subscribe. Existing records remain available to read and export while the account remains open.
The standard plans are £99 per dentist per month or £948 per dentist for one year paid in advance. The checkout page shows the amount due, billing period and any applicable tax before you pay.
Subscriptions renew for the same billing period until cancelled. Stripe processes payment and stores card details. You authorise Stripe to charge the payment method held for each renewal.
We may change a renewal price by giving at least 30 days notice. A change applies at the next renewal after that notice. You may cancel before it takes effect.
You may cancel through Plan & billing. Cancellation takes effect at the end of the period already paid for. Fees are not refundable for an unused part of a billing period, except where the law requires a refund or we have charged you incorrectly.
If payment fails, we may allow a short grace period while payment is retried. If payment remains unpaid, AI processing and new record creation become unavailable. Existing records remain readable and exportable while the account remains open. Restoring payment restores paid access.
Do not record or upload information where you do not have authority to do so. A patient declining recording must not be recorded.
Transcripts and drafts may contain errors, omissions or invented text. Some additions are marked for review, but those controls cannot identify every mistake. Output is always a draft until an authorised professional has checked it.
You remain responsible for clinical decisions and for the final content entered into a patient record. We are not responsible to the extent a loss results from using output without the review required by these terms.
For patient data you place in Assist, you or your practice are the controller and we are the processor. The Data Processing Terms form part of this contract; the practice owner signs them inside Assist during onboarding, and a copy is available on request.
Do not use Assist for patient data unless the relevant controller has authorised the processing and accepted the Data Processing Terms.
You keep all rights you have in material you submit and in the resulting records. You give us the limited right to process that material only to provide, secure and support Assist and to meet our legal duties.
We own Assist, its software, design and documentation. These terms give you a limited, non-exclusive and non-transferable right to use the service while your account is entitled to access it. They do not transfer our intellectual property to you.
Each party must protect the other party's confidential information and use it only for this contract. This does not cover information already lawfully known, public through no breach, received lawfully from another source or required to be disclosed by law.
You must not share accounts, bypass access or usage controls, probe security, introduce harmful code, reverse engineer the service except where law expressly permits it, use it unlawfully or use it to build a competing model or service.
Each paid dentist seat includes up to 10 hours of recording and transcription in any rolling seven-day period. This allowance applies to the seat holder's own work and cannot be pooled across a practice.
Recording or transcription above 10 hours in a rolling seven-day period is high-volume use and is not included in the standard paid seat. We may contact you to agree a high-volume plan. Unless we agree otherwise, 16 hours in a rolling seven-day period is an abuse limit; we may restrict further recording and AI processing until usage falls below that limit.
We may monitor usage and apply technical limits to protect the service and prevent misuse. Contact us if a limit interrupts legitimate clinical work.
We aim to keep Assist available but do not promise uninterrupted or error-free service. Maintenance, security work and third-party failures can cause interruption. Unless we agree a separate service level in writing, no service level applies.
We may change Assist to improve it, maintain security, comply with law or reflect supplier changes. We will give reasonable notice if a change materially reduces paid core functionality.
We may suspend access where payment is overdue, these terms are materially breached, use creates a security or legal risk, or we must do so by law. Where practical, we will explain the reason and allow a reasonable opportunity to remedy it.
You may close your account by contacting us. On closure or termination, the Data Processing Terms govern return and deletion of patient data. Terms which by their nature should continue, including payment, confidentiality, ownership and liability terms, remain in effect.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited.
Subject to that, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or anticipated savings. Our total liability arising out of or connected with Assist in any 12-month period is limited to the fees paid or payable for Assist in that period.
The limits in this section apply to all legal theories and to the Data Processing Terms. They do not reduce your obligation to pay fees due.
We may update these terms for legal, security or service reasons. If a change materially affects you, we will give reasonable notice before it takes effect. Continuing to use Assist after that date accepts the updated terms.
Neither party is liable for delay caused by events reasonably outside its control. You may not transfer this contract without our written consent. We may transfer it as part of a genuine reorganisation or sale of the relevant business, provided your rights are not reduced.
If part of these terms is unenforceable, the rest remains in effect. A delay in enforcing a right does not waive it. This contract is the entire agreement about Assist and gives no rights to anyone who is not a party to it.
English law governs this contract and the courts of England and Wales have exclusive jurisdiction. Email questions or legal notices to hello@helpdental.ai.
